Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Smart Money API, operated by Ardit Tashi ("Smart Money API," "we," "us," or "our"), governing your access to and use of our website (smartmoneyapi.com), API services, dashboard, documentation, and all related features (collectively, the "Service").

By creating an account, generating an API key, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all users of the Service, including free-tier users, paid subscribers, and enterprise customers.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction if higher
• Have the legal capacity and authority to enter into binding contracts
• Not be prohibited from using the Service under applicable law in your jurisdiction
• Not have had a previous account terminated for violations of these Terms

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts and refuse service to anyone at our sole discretion.

3. Accounts and API Keys

3.1 Account Registration

You must create an account to access the Service. You agree to provide accurate, complete, and current information during registration and to update this information if it changes. You are responsible for maintaining the confidentiality of your account credentials.

3.2 API Keys

Upon registration, you will be issued one or more API keys tied to your account and subscription tier. You are solely responsible for:

• Keeping your API keys confidential and secure
• All activity that occurs under your API key, whether or not authorised by you
• Promptly revoking and regenerating keys if you suspect unauthorised access
• Not sharing, selling, sublicensing, or distributing your API keys to third parties

We reserve the right to revoke any API key at any time if we believe it is being misused or if your account violates these Terms.

3.3 One Account Per Person

You may not create multiple free-tier accounts to circumvent rate limits or restrictions. Creating duplicate accounts is a violation of these Terms and may result in all associated accounts being terminated.

4. API Usage and Rate Limits

4.1 Rate Limits

API calls are subject to rate limits based on your subscription tier:

• Free tier: 10 calls per day; BTC only; 60-second data delay
• Trader plan: 200 calls per day; BTC, ETH, SOL; real-time data
• Pro plan: 2,000 calls per day; all 229+ supported assets; all endpoints
• Enterprise plan: 50,000 calls per day; custom burst rates; dedicated infrastructure

Daily quotas reset at 00:00 UTC. Requests exceeding your limit return HTTP 429 (Too Many Requests). Persistent limit violations or suspected abuse may result in temporary or permanent suspension.

4.2 Endpoint Access

Access to specific API endpoints is determined by your subscription tier as documented in our API Documentation. We reserve the right to change endpoint availability with reasonable notice.

4.3 Availability

We strive to maintain high API availability but do not guarantee 100% uptime. Planned maintenance will be announced in advance where possible. You can monitor current service status at status page.

5. Fair Use Policy

Even within your rate limits, you agree to use the Service in a fair and reasonable manner. The following are prohibited:

• Systematically downloading or scraping API data to build a competing dataset or product
• Using automated tools to test rate limits or probe system vulnerabilities
• Making requests that place unreasonable load on our infrastructure
• Using the Service in ways that degrade performance for other users
• Reselling or redistributing raw API data as a standalone product without written permission
• Circumventing rate limits through IP rotation, multiple accounts, or similar techniques

We reserve the right to throttle, suspend, or terminate accounts that we determine are in violation of this fair use policy, in our sole discretion.

6. Subscriptions and Billing

6.1 Subscription Plans

Paid subscriptions (Trader, Pro, Enterprise) are billed on a monthly recurring basis through Stripe, our payment processor. Current pricing is available at pricing page and is subject to change with at least 30 days' notice to existing subscribers.

6.2 Billing

By subscribing, you authorise us to charge your payment method on a recurring monthly basis. Billing occurs on the same day each month as your initial subscription date. You are responsible for ensuring your payment information remains current. Failed payments may result in service suspension.

6.3 Plan Changes

You may upgrade your subscription at any time; the change takes effect immediately and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the end of the current billing period.

6.4 Taxes

Prices do not include applicable taxes. You are responsible for any taxes, duties, or levies applicable to your use of the Service in your jurisdiction. We may collect taxes where legally required.

7. Refund Policy

All fees paid for subscription plans are generally non-refundable. However, we will issue a full refund in the following circumstances:

• You request a refund within 7 days of your first payment on a new paid plan and have made fewer than 100 API calls during that period
• We experience a confirmed service outage exceeding 24 consecutive hours in a billing period
• We materially change the features included in your plan without adequate notice

To request a refund, contact us at support@smartmoneyapi.com with your account email and reason for the request. Refund eligibility is determined at our sole discretion.

8. Intellectual Property

8.1 Our Property

The Service, including all software, algorithms, data processing logic, website design, documentation, and trade secrets, is the exclusive intellectual property of Smart Money API / Ardit Tashi, protected by copyright, trade secret, and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely as permitted by these Terms and your subscription plan.

8.2 Your Data and Content

You retain ownership of any data you provide to the Service (such as watchlist configurations, webhook URLs, or custom alert rules). By providing this data, you grant us a limited licence to use it solely to deliver the Service to you.

8.3 API Output Data

Market data, whale signals, on-chain analytics, and derivative intelligence provided through the API are made available to you for your personal or internal business use. You may not:

• Redistribute or resell raw API output as a data product
• Create a service that substantially reproduces our API for competitors
• Reverse engineer our signal generation algorithms
• Remove or obscure any proprietary notices in our data or documentation

You may use API output to power your own trading bots, internal tools, and applications, and you may display derivative analysis results to your end users.

8.4 Feedback

If you submit feedback, suggestions, or feature requests, you grant us an irrevocable, royalty-free right to use such feedback in any manner without obligation to you.

9. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Engage in market manipulation, wash trading, front-running, or other forms of market abuse
• Transmit malware, viruses, or any code designed to damage or disrupt systems
• Attempt to gain unauthorised access to our systems, other users' accounts, or third-party systems
• Conduct denial-of-service attacks against our infrastructure
• Use the Service in jurisdictions where it is prohibited by local law
• Impersonate Smart Money API, its employees, or other users
• Collect personal data about other users without their consent
• Use the Service in connection with any unlawful financial scheme or fraud

10. Disclaimer — Not Financial Advice

Cryptocurrency markets are highly volatile and speculative. Trading or investing in cryptocurrencies involves substantial risk of loss, including the possible loss of all capital invested. Past performance of any signal, strategy, or indicator is not indicative of future results.

Smart Money API data should be used as one input among many in your own independent research and decision-making process. You are solely responsible for all trading and investment decisions you make. We strongly recommend consulting a qualified financial advisor before making investment decisions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMART MONEY API, ITS OPERATOR ARDIT TASHI, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Losses arising from your trading, investment, or financial decisions based on API data
• Service interruptions, data inaccuracies, or API errors
• Third-party service failures (e.g., exchange APIs, Firebase, Stripe)
• Unauthorised access to or use of our systems

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Smart Money API, Ardit Tashi, and their respective agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights or applicable law
• Any content or data you submit to the Service
• Your trading or investment decisions made using Service data

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account from the dashboard or contacting us at support@smartmoneyapi.com. Termination of a paid subscription cancels future billing; you retain access until the end of your current billing period. We do not issue refunds for unused portions of a billing period except as described in Section 7.

13.2 Termination by Us

We reserve the right to suspend or terminate your account and API access at any time, with or without notice, for any reason including but not limited to:

• Violation of these Terms or our Fair Use Policy
• Non-payment of subscription fees
• Fraudulent, abusive, or illegal activity
• Extended account inactivity (free tier only, after 12 months)
• Discontinuation of the Service

13.3 Effect of Termination

Upon termination, your right to access the Service immediately ceases. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimer, limitation of liability, indemnification, and governing law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which Ardit Tashi is based, without regard to conflict-of-law principles.

Before initiating any formal legal proceedings, you agree to first contact us at support@smartmoneyapi.com and attempt to resolve the dispute informally for at least 30 days.

If informal resolution fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction in the applicable territory, as determined by applicable law. Consumer protection laws in your jurisdiction may provide you with rights that cannot be waived by contract.

Users located in the European Union retain the right to bring claims before courts in their country of residence and to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, applicable law, or Service features. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify registered users via email with at least 14 days' advance notice for material changes
• Display a prominent notice on our website

For paid subscribers, material changes that negatively affect your subscription terms will not take effect until your next billing period, giving you the opportunity to cancel if you do not agree. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
